Under the direction of the Deputy General Counsel, the Vice President, Associate General Counsel – Transactions provides comprehensive oversight, management, and strategic direction on legal services provided by department attorneys, and outside legal counsel.The VP, Associate General Counsel – Transactions provides these services to San Manuel Band of Mission Indians (SMBMI) and its affiliates within the areas of their responsibility, including overseeing strategic legal direction on major complex transactional activities of the SMBMI and its affiliates. The VP, Associate General Counsel – Transactions also oversees the delivery of strategic legal support to the SMBMI in the areas of mergers and acquisitions, finance, investments, corporate development, corporate governance, taxation, intellectual property, contracting and other procurement-related, activities, and information technology.

Essential Duties & Responsibilities

1. Directs legal strategy and oversees legal services provided in all major transactional matters including mergers and acquisitions (M&A) and other transactions for the SMBMI and its affiliates, including through drafting transaction agreements and related documentation, participating in due diligence and providing analysis and recommendations to business teams and tribal leadership.

2. Manages delivery of legal services in areas encompassing finance, direct and indirect investments, taxation, contracting and other procurement-related activities, information technology, corporate development, and intellectual property matters, including through effective selection and oversight of outside counsel as applicable.

3. Advises SMBMI General Council, Business Committee, Entertainment Authority and other governmental committees, boards, departments and the SMBMI enterprise on legal issues relative to substantive issues.

4. Supports corporate secretarial functions and related corporate filings.

5. Coordinates, directs, and manages internal legal department talent as applicable and secures appropriate outside legal counsel expertise as applicable to deliver on transactional and strategic imperatives, including indirect and direct investments.

6. Collaborates regularly with San Manuel’s department leaders to assess, select, and provide appropriate legal resources needed to support complex transactional matters.

7. Oversees the negotiation, drafting and interpretation of transactional documents related to complex transactional matters.

8. Manages and engages in succession planning to ensure development of effective-in-house talent to service legal aspects of complex transactional matters.

9. Communicates and recommends legal strategies/decisions, key insights, potential risks, and action plans to Tribal Government, senior leadership, relevant committees, and leaders across the enterprise on legal matters.

10. Drives solutions to legal concerns that optimize the SMBMI short-term and long-term strategic initiatives.

11. Oversees legal due diligence on all transactions within their scope of responsibility.

12. Develops and manages budget for delivery of legal services to support above activities, including assessment of proper allocation of in-house and outside legal resources to deliver legal services efficiently.

13. Assumes other responsibilities, duties, tasks and assignments that contribute to the mitigation or response to any public health emergency.

14. Performs other duties as assigned to support the efficient operation of the department.

Supervisory Responsibilities

The VP Associate General Counsel, Transactions is responsible for managing attorneys and staff attorneys. Carries out supervisory responsibilities in accordance with the organization’s policies and applicable laws.   Responsibilities include interviewing, hiring and training employees; planning, assigning reviewing and directing work; evaluating and appraising performance; rewarding and disciplining employees; addressing complaints and resolving problems.  Makes hiring decisions and designs individual development plans with succession planning in mind for all key roles.



  • Juris Doctorate is required
  • Minimum of twelve (12) years in complex transactional law.
  • Equivalent combination of education and progressive, relevant and direct experience may be considered in lieu of minimum educational/experience requirements indicated above.
  • Experience working with tribal governments is preferred.
  • Extensive working knowledge of Federal and State law.
  • Experience in both a law firm and in-house setting and managing attorneys is desired.
  • Demonstrates initiative and accountability to achieve results in order to attain individual and organizational goals.
  • Demonstrated skills in crafting legal solutions in novel ways, providing practical legal advice and properly balancing risks and business reward.
  • Strong organizational skills, with an ability to juggle multiple projects at a time in a fast-moving, quickly changing environment, both collaborating as a team and working independently.
  • Must have essential attributes such as the ability to thrive in a fast-paced environment, be open to change and ambiguity, have creative thinking and strong problem-solving skills, and possess an ownership attitude for projects and strategic visioning.


  • At the discretion of the San Manuel Tribal Gaming Commission, you may be required to obtain and maintain a gaming license.
  • A qualified candidate/employee must have a valid drivers license with an acceptable driving record as determined by the companys insurance carrier.
  • Must be an active member in good standing of the State Bar of California.
