Description

The Global Legal team is responsible for administering Hilton's legal activities to ensure maximum protection while engaging in global business and ensuring compliance with the company's legal obligations.

What will I be doing? As Counsel, Franchise & Regulatory, you will be a member of the Americas Development Legal team and will provide legal support to our Company’s franchised hotel development teams as they work to grow the Company’s hotel portfolio worldwide. The ideal candidate will have experience with the hospitality industry and franchise business model. Responsibilities include providing substantive legal advice in the areas of franchising, franchise regulation, negotiating and drafting related legal documentation, and managing outside counsel. More specifically, you will:

  • Write, review, and administer Franchise Disclosure Documents (FDDs), franchise registrations, and renewals for Hilton’s 17 hotel brands around the world.
  • Help ensure enterprise-wide compliance with local franchise relationship laws with respect to Hilton’s franchise agreement terms, brand standards, policies, and procedures.
  • Update and maintain form agreements for transactions including new hotel development, re-licensing, and transfers (change of ownership), lender agreements (comfort letters), guarantees, promissory notes, and other contracts related to Hilton’s franchise estate.
  • Provide legal advice and training to both business partners and fellow legal team members on franchise legal issues that arise in the course of day-to-day business, including with respect to the potential impact of proposed legislation.
  • Provide support and assistance for special projects that may arise, such as the launching of new brands and implementation of new brand standards, commercial programs, and new market entry projects.

To fulfill this role successfully, you should demonstrate the following minimum qualifications:

  • Three (3) to five (5) years of relevant experience, which should include practicing law at a leading law firm or corporation as a regulatory compliance and/or transactional attorney
  • Substantive experience in franchise law, regulatory and/or transactional
  • Experience interacting with business partners and developing trust
  • Detailed understanding of key legal concepts and ability to seamlessly relay them to business partners and other Legal team members
  • Admitted to practice law, active and in good standing with the Virginia State Bar, or with another state bar and registered, or be eligible to register, as in-house counsel with Virginia State Bar

It would be useful in this position for you to demonstrate the following capabilities and distinctions:

  • Experience with drafting Franchise Disclosure Documents (FDDs) and managing the franchise registration process
  • Experience with the hospitality industry
  • Experience working with U.S. state regulators
